Advise on the proper Delaware C-Corp structure for documenting the agreed equity arrangement, including authorized share count, equity pool, founder shares, and the agreed share issuance to the co-founder/service provider. Confirm the required corporate approvals and legal steps, including board consent, stockholder consent if needed, amendment or supplement to the existing agreement if needed, and any actions required if the company needs to increase its authorized shares.
